These Terms and Conditions (“Terms”) govern your access to and use of the Alethia Solutions website and any services, information, materials, communications, or resources made available by Alethia Solutions (“Alethia,” “we,” “us,” or “our”). By accessing our website, contacting us, scheduling a consultation, or using our services, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree with these Terms, you should not use our website or services.

1. About Alethia Solutions

Alethia Solutions provides digital marketing and advertising services primarily to roofing companies and other businesses.

Our services may include paid advertising strategy, campaign creation and management, lead generation, campaign optimization, creative implementation, reporting, tracking, consulting, and related marketing services.

The specific services provided to a client are determined by the applicable proposal, service agreement, statement of work, or other written agreement between Alethia and that client.

2. Eligibility

By using our website or engaging our services, you represent that you are at least 18 years old and have the legal capacity to enter into binding agreements.

If you are using our website or services on behalf of a company or other organization, you represent that you have authority to act on behalf of that organization.

3. Website Use

You may use our website for lawful business and informational purposes.

You agree not to misuse our website, interfere with its operation or security, attempt to gain unauthorized access to our systems, introduce malicious software, scrape or harvest information through unauthorized automated means, impersonate another person or organization, or use the website in violation of applicable law.

We reserve the right to restrict or terminate access to our website when we reasonably believe these Terms have been violated.

4. Strategy Calls and Consultations

Our website may allow prospective clients to schedule complimentary strategy calls, consultations, or other meetings.

Scheduling or participating in a consultation does not create a client relationship, guarantee acceptance as a client, or obligate either party to enter into a business relationship.

Information discussed during an initial consultation is provided for general business and marketing purposes and should not be considered legal, tax, accounting, or financial advice.

5. Marketing and Advertising Services

Alethia may provide marketing services designed to generate leads, inquiries, appointments, or other business opportunities.

The precise scope of work, responsibilities, fees, advertising budgets, billing arrangements, and other requirements applicable to a client engagement will be established separately in the applicable service agreement.

In the event of a conflict between these website Terms and a signed client service agreement, the signed client service agreement will control with respect to that client relationship.

6. Advertising Spend

Unless expressly agreed otherwise in writing, advertising spend paid to platforms such as Meta, Google, or other advertising networks is separate from Alethia's service fees.

Clients are responsible for funding their advertising budgets and any charges imposed directly by third-party advertising platforms.

Advertising spend does not constitute payment to Alethia unless specifically stated otherwise in a written agreement.

7. Advertising and Marketing Results

Marketing and advertising performance depends on numerous factors, many of which are outside Alethia's reasonable control.

These factors may include market conditions, geographic location, competition, seasonality, advertising budgets, platform algorithms and policies, consumer demand, the client's reputation, pricing, offer, response times, follow-up procedures, sales processes, staffing, and ability to convert opportunities into customers.

Accordingly, Alethia does not warrant or guarantee any specific number of leads, appointments, inspections, estimates, customers, sales, revenue, profit, return on advertising spend, or other particular business outcome.

Any examples, projections, case studies, estimates, or discussions regarding potential results are illustrative and should not be interpreted as promises or guarantees of future performance.

8. Leads and Sales

Where our services involve lead generation, Alethia's responsibility is generally limited to the marketing and lead-generation activities described in the applicable service agreement.

Unless expressly agreed otherwise, the client remains responsible for contacting leads, responding promptly, conducting follow-up, scheduling appointments or inspections, providing estimates, determining pricing, closing sales, collecting payment, and delivering the client's products or services.

Alethia is not responsible for a client's failure to contact, follow up with, qualify, sell to, or convert a lead.

A lead or inquiry does not constitute a guaranteed customer or sale.

9. Client Responsibilities

Clients are responsible for providing accurate and timely information reasonably necessary for Alethia to perform its services.

Clients may also be required to provide access to advertising accounts, business pages, websites, tracking systems, creative assets, customer relationship management systems, or other resources.

Clients remain responsible for the accuracy and legality of information, offers, claims, pricing, licenses, warranties, and representations concerning their own businesses.

Delays or performance issues caused by missing information, unavailable access, delayed approvals, account restrictions, or other matters under the client's control are not the responsibility of Alethia.

10. Third-Party Platforms

Our services may rely upon third-party platforms and providers, including advertising networks, social media platforms, scheduling services, hosting providers, analytics providers, payment processors, CRM platforms, email providers, and other technology services.

Alethia does not own or control these third-party platforms.

We are not responsible for outages, account suspensions, policy changes, algorithm changes, technical failures, advertising disapprovals, data loss, service interruptions, pricing changes, or other actions taken by third-party providers.

Use of third-party platforms may also be subject to their respective terms, policies, and privacy practices.

11. Account Suspensions and Advertising Platform Decisions

Advertising platforms retain independent authority over their systems.

Alethia cannot guarantee that advertisements, advertising accounts, business accounts, pages, domains, payment methods, or other assets will be approved or remain active.

Although we may provide reasonable assistance with advertising-related issues within the scope of our services, we cannot guarantee reversal of a platform's decision.

12. Fees and Payment

Fees for Alethia's paid services are established in the applicable proposal, invoice, service agreement, or other written agreement.

Unless otherwise agreed in writing, clients are responsible for paying all amounts when due.

Failure to make required payments may result in suspension or termination of services.

Any applicable recurring billing arrangements, payment schedules, cancellation provisions, refunds, late payments, or other financial terms will be governed by the client's service agreement.

13. Cancellations and Refunds

Cancellation and refund terms applicable to paid client services are established in the applicable service agreement.

Scheduling a complimentary consultation does not create any payment obligation.

Unless otherwise required by law or expressly stated in writing, fees already earned for services performed are not automatically refundable.

14. Intellectual Property

The Alethia Solutions name, branding, logos, website design, graphics, written materials, processes, and other original materials owned by Alethia are protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, sell, license, publish, or commercially exploit Alethia-owned materials without our prior written permission, except where permitted by law.

Ownership and permitted use of advertising creatives, campaign materials, client-provided assets, and other work created during a client engagement may be further addressed in the applicable service agreement.

15. Client Materials

Clients retain responsibility for materials they provide to Alethia, including logos, photographs, videos, trademarks, written content, offers, testimonials, and other assets.

By providing materials to Alethia for use in connection with our services, the client represents that it has the necessary rights and permissions for Alethia to use those materials for the intended purpose.

The client grants Alethia permission to use such materials as reasonably necessary to perform the contracted services.

16. Confidentiality

During the course of a business relationship, either party may receive confidential or proprietary information belonging to the other.

Where applicable, confidentiality obligations may be established in greater detail in the client's service agreement.

Nothing on this website should be interpreted as requiring Alethia to disclose proprietary strategies, internal processes, confidential client information, or other protected business information.

17. Communications

By contacting Alethia or scheduling a meeting, you authorize us to respond using the contact information you provide.

This may include communications regarding your inquiry, scheduled meeting, requested information, or potential business relationship.

Where required by applicable law, marketing communications will be handled in accordance with applicable consent and opt-out requirements.

18. Privacy

Your use of our website is also subject to our Privacy Policy.

Our Privacy Policy explains how Alethia may collect, use, disclose, and protect personal information associated with your interaction with our website and services.

19. No Professional Advice

Information presented by Alethia through its website, consultations, marketing materials, or communications is provided for general marketing and business purposes.

Unless expressly stated otherwise, Alethia does not provide legal, tax, accounting, investment, insurance, or other regulated professional advice.

You should consult an appropriately qualified professional when advice in those areas is required.

20. Website Availability and Accuracy

We make reasonable efforts to maintain accurate and useful information on our website, but we do not warrant that every piece of information will always be complete, current, accurate, or error-free.

We may modify, remove, update, suspend, or discontinue portions of our website at any time.

We do not guarantee uninterrupted or error-free website availability.

21. Disclaimer of Warranties

To the fullest extent permitted by applicable law, our website and any information made available through it are provided on an “as is” and “as available” basis.

Alethia disclaims warranties not expressly provided in a written agreement, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are permitted by applicable law.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Alethia Solutions, its owners, employees, contractors, representatives, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings, arising out of or relating to our website or services.

Alethia shall not be responsible for losses resulting from circumstances reasonably outside our control, including third-party platform decisions, advertising account restrictions, market changes, client sales performance, client response times, technical outages, or actions or omissions of third parties.

To the fullest extent permitted by applicable law, Alethia's total aggregate liability arising from or relating to the services giving rise to a claim shall not exceed the amount actually paid to Alethia for those services during the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability. Where a limitation contained in these Terms is prohibited, it will apply only to the maximum extent permitted by applicable law.

23. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Alethia Solutions and its owners, employees, contractors, representatives, and affiliates from third-party claims, liabilities, damages, losses, and reasonable costs arising from your unlawful use of our website or services, your violation of these Terms, materials or information you provide to us, or your violation of another person's rights.

Client-specific indemnification obligations may be addressed separately in the applicable service agreement.

24. No Partnership or Agency Relationship

Nothing contained in these Terms creates a partnership, joint venture, employment relationship, franchise, fiduciary relationship, or legal agency relationship between Alethia and a website visitor or client.

When providing services to a client, Alethia operates as an independent service provider except where a written agreement expressly provides otherwise.

25. Force Majeure

Alethia will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including natural disasters, severe weather, internet or utility outages, cyber incidents, governmental actions, labor disruptions, wars, civil disturbances, epidemics, failures of third-party technology providers, or major advertising platform disruptions.

26. Governing Law

These Terms shall be governed by and interpreted according to the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any client-specific dispute resolution, venue, arbitration, or governing-law provisions contained in a signed service agreement will control for disputes arising from that agreement.

27. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Any unenforceable provision shall be interpreted or limited to the minimum extent necessary to make it enforceable where permitted.

28. Waiver

Alethia's failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.

29. Entire Agreement

These Terms, together with our Privacy Policy and any other policies expressly incorporated by reference, constitute the agreement governing general use of our website.

For paying clients, the applicable signed service agreement, proposal, statement of work, or other written agreement may contain additional or different terms and will control where it expressly conflicts with these website Terms.

30. Changes to These Terms

Alethia may update these Terms periodically to reflect changes in our website, services, business practices, or applicable requirements.

Updates will be posted on this page with a revised “Last Updated” date.

Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
